Job Description

The Global IP Transactions and Litigation Counsel will serve as an Intellectual Property (IP) legal advisor for IP matters to support the Olympus Corporation and all worldwide group companies, including developing and implementing IP strategies for: business development, mergers and acquisitions, and investments; litigation, post-grant proceedings, and dispute resolution; and, license and contract review and negotiation.

The position will report to the Senior Global IP Transactions, Litigation, and Licensing Counsel.  The oversight responsibilities extend to IP legal matters in multiple jurisdictions across the Americas, as well as other business centers located in Japan, Europe, China, and elsewhere around the globe.

Job Duties

Serves as attorney handling IP matters arising from the daily business operation of Olympus Corporation and all worldwide group companies (collectively, “Company”), including to:

  • Support IP aspects of global business development, mergers, and acquisitions, and investment activities, including drafting and negotiating IP-related agreements/licenses and other transactional documents, conducting due diligence, and advising on integration and alliance management;
  • Support global IP contracting matters including drafting and negotiating licenses and agreements, analyzing technology transfer ramifications, and advising business colleagues on legal risks;
  • Support global IP litigations, post-grant proceedings, and IP dispute resolution activities through risk mitigation, enforcement and defense strategies, including investigating facts; analyzing litigation positions and counter-positions; managing outside counsel; interviewing and preparing corporate witnesses for deposition or trial; reviewing and editing pleadings; negotiating resolutions; and, reporting on the progress of the litigation to business colleagues and management;
  • Oversee and provide counsel on freedom-to-operate and patent-clearance activities;
  • Oversee and provide counsel on virtual patent marking activities;
  • Support the establishment of processes and procedures for global harmonization of IP transaction, litigation, and contracting matters;
  • Provide training and education to legal colleagues and organization stakeholders on topics of relevance including IP risk-mitigation measures. 
  • Work with IP colleagues around the world to provide best-in-class IP transactions, licensing, and litigation services.

Job Qualifications

Required:

  • Juris Doctor Degree from and accredited law school.
  • Minimum 8 years of experience in a wide array of intellectual property matters including mergers and acquisitions, licensing, patent litigation, patent prosecution, as well as experience in client counseling required. 
  • A mix of relevant law-firm and in-house experience, preferably in the medical device industry, preferred.
  • Active US attorney license in good standing to practice law in the US.
  • Active registration to practice before the US Patent & Trademark Office.

  • Strong relationship skills, ability to influence and motivate colleagues.
  • High energy, self-motivated, hands-on and participatory with strong results orientation and ability to quickly establish priorities.
  • Must have a sense of ownership and a desire to support the Company to achieve high-level corporate goals.
  • Excellent written and oral communication skills, including the ability to communicate clear and concise intellectual property strategies to business clients and executive management.
  • Demonstrated ability to be a trusted legal advisor.
  • Positive attitude a must; sense of humor a plus.
  • Full capability using Microsoft Applications including Word, Excel, Outlook and PowerPoint required.

The anticipated base pay range for this full-time position working at this location is $158,600.00 - $237,900.00 / year, plus potential for annual bonus (subject to plan eligibility and other requirements). Olympus considers a variety of factors when determining actual compensation for this position including: level of experience, working location, and relevant education and certifications.
