Job Description

Olympus is seeking an attorney to provide legal support to its medical and life science businesses with respect to a variety of commercial and corporate transactional matters.  The primary purpose of this role is to review, draft and negotiate a variety of agreements and other documents, and to provide associated legal advice and recommendations to both internal clients and attorney colleagues..  The role provides support directly to business managers with respect to some assignments, and otherwise acts at the direction of other attorneys in the Legal Department. 

Job Duties

In a typical day, you will:

* Reviewing, drafting and negotiating agreements on a variety of business and transactional matters, ensuring that they accurately reflect the terms agreeable to the decision-makers in the business.

* Advising business managers throughout the contract negotiation process with respect to the areas of legal risk and exposure, and recommending strategies to achieve a satisfactory outcome.

* Analyzing legal implications and areas of exposure.

* Refining the language and construction of agreements to provide appropriate legal protection to the corporation while meeting the business purpose and achieving clarity in provisions.

* Advising business managers on the proper negotiation and administration of government contracts and group purchasing agreements.

* Assisting in the management of dispute settlement to minimize litigation. Reviewing existing agreements and related records when disputes arise to help assess the company’s position.  Preparing communications directed at preserving and maximizing the company’s position while moving toward resolution.  Drafting settlements to resolve disputes.

* Developing and enhancing standard contracts that advance the company’s interests in connection with frequent business transactions.

* Developing and providing training to business managers on a variety of legal and compliance matters.

* Functioning independently and delivering desired results with a minimum amount of supervision.

* Interacting with company and third party business and legal personnel on relevant legal matters.

* Drafting correspondence related to the foregoing duties and responsibilities.

* Maintaining the confidentiality of Legal Department communications and documentation.

* Providing indirect supervision, and guidance to other professional(s) and or paraprofessional(s) in the Legal Department.

* Performing other duties as assigned.

Job Requirements

REQUIRED QUALIFICATIONS:

* J.D. Degree from an accredited law school.

* Licensed to practice law in accordance with Pennsylvania state bar requirements. Member in good standing of all state bars where licensed to practice law.

* 3-5 years of commercial and corporate transactional experience either with a law firm or as in-house legal department.

* Domestic and possibly international travel up to 25%.

PREFERRED QUALIFICATIONS:

* Excellent written and verbal communication skills, as well as a positive professional image.

* Excellent organizational skills and ability to work under pressure in a fast paced, dynamic corporate environment.

* Government contracts experience a plus.

* Experience in highly-regulated industry required; medical device, pharmaceutical or life sciences experience preferred.
