Job Description
The Global Information Technology Counsel provides pro-active legal advice to global information technology professionals and other information technology stakeholders in various corporate functions and business units. The advice includes legal support for IT projects and initiatives as well as day-today matters.
Job Duties
* Drafting and negotiating complex technology transactions, including multi-jurisdictional IT outsourcing agreements, technology-related provisions in merger/acquisition/divestiture-related agreements, including transition services agreements, software-as-a-services/cloud and web hosting agreements, software license and maintenance agreements, reseller agreements, and hardware purchase agreements.
* Supporting the Global Information Technology and Global Sourcing & Procurement functions’ project teams with respect to vendor management and sourcing negotiations; drafting and reviewing agreements and other documents; recommending paths to effective resolution of disputes as well as identifying and mitigating legal risks.
* Providing advice to Olympus’ technology/engineering teams on the development of products, platforms, services and other initiatives with partners around new and agile contract relationships in the Digital Innovation Environment (e.g. involving the collection and use of consumer and employee data, including business intelligence, advanced advertising, customer experience, and related business and technology initiatives) to ensure compliance with applicable law.
* Supporting the Global IT Legal Core Team members on global and regional matters; drafting and contributing to guidelines, best practices, playbooks; designing and implementing processes for collaboration between and/or within the legal and business functions dividing clients across the company including product teams, engineering teams and business management regarding global developments in surveillance, data privacy, and security laws. Ensuring effective customer communications related to company’s practices, policies, and procedures for responding to government requests for user data.
* Monitoring and tracking legal and regulatory developments, conducting primary research and analysis, drafting memos, drafting and reviewing corporate communications, and advising internal clients, both verbally and in writing, all with minimal reliance on outside counsel
Interacting and coordinating with subject matter experts (privacy, security, risk management, etc.)
* Developing and maintaining contract templates; and developing and providing relevant training for clients and legal professionals
* Partnering with regional legal teams to respond to litigation, subpoenas, court orders, government inquiries and other legal requests
* Supporting regulatory investigations and responses
Job Requirements
REQUIRED QUALIFICATIONS:
* Qualified attorney with active license in good standing and authorized to practice law in the location where the position resides.
* Minimum of three to five years’ experience in information technology at a major law firm and/or multinational corporation.
* Excellent contract drafting and negotiation skills.
* Experience in data protection and/or data privacy legal advice.
* Able to navigate large, multifaceted, and international organizations, including working across time zones.
* Must be fluent in English, multi-lingual is a plus.
PREFERRED QUALIFICATIONS:
* A high degree of independent motivation and judgment, as well as the ability to work directly with a wide variety of personnel, IT Department staff, business unit personnel and outside counsel.
* Excellent organizational skills, detail-oriented, and able to complete projects and other assignments efficiently, timely and with a minimum of supervision.
* Experience with intellectual property and/or data security matters is also desirable.
* Experience working with information technology professionals and management level clients.
* The anticipated compensation range for this position is 147,485.00 to 206,479.00 USD annually and the compensation offered will depend on the candidate’s qualifications.
