Job Description

The ideal candidate will negotiate and draft agreements on behalf of Olympus medical, life science, and consumer product groups on a variety of commercial and corporate transactional matters, and provide legal advice to managers on a variety of business related, legal subjects. Provide direct support for a business group or groups and provide secondary support to the remaining groups. Supervise professional(s) and or paraprofessional(s) employed in the Legal Department.

Job Duties

* Review, negotiate and draft agreements on behalf of the corporation on a variety of business and transactional matters, which include: Ensuring all contracts further the business plan of the
product group and accurately reflect the business terms agreeable to the decision makers in the product group.


* Negotiate with the contracting party to define and finalize the purpose, nature, and provisions of the contract; seeking the most advantageous position for the corporation.


* Negotiate and draft certain corporate transactional agreements, such as asset purchase agreements, stock purchase agreements, merger agreements, purchase and sale agreements, service contracts, distribution agreements, non disclosure agreements, and financing agreements.


* Advise the corporation s business managers on the proper negotiation and administration of Government contracts and group purchasing agreements (candidate will receive appropriate training in this area, as needed, and will work with the Chief Compliance Officer and Compliance Department in establishing and enforcing policies).


* Advise the corporation s business managers throughout the contract negotiation process with respect to the areas of legal risk and exposure, and recommending negotiating strategies to achieve a satisfactory outcome.


* Research and analyze the legal implications and areas of exposure for the corporation.


* Research and review previously negotiated contracts to serve as constructive models and references.


* Refine the language and construction of agreements to provide maximum legal protection to the corporation while clearly defining their business purposes and provisions.


* Assist in facilitating and monitoring litigation on behalf of the Corporation, including assisting special outside counsel retained for purposes of the particular litigation, and reporting on the progress of the litigation to the Corporation's management.


* Assist in the management of dispute settlement to minimize litigation.


* Communicate with appropriate parties in writing or in person to discuss the issues under consideration.


* Fashion and recommend settlements to resolve the matters at hand.


* Provide legal advice to management on a variety of commercial and corporate transactional subjects to minimize legal exposure (including but not limited to advice regarding acquisitions and divestitures, entity formation, corporate governance, intellectual property, antitrust, healthcare, labor and employment, and other matters).


* Research legal subjects to prepare and make recommendations.


* Develop standard form contracts that advance the Corporation s interests in connection with repetitive business transactions.


* Perform and oversee due diligence, contract drafting and negotiating as well as closing activities for business transactions, including joint ventures, distribution agreements, asset purchases, stock purchases, mergers and other business combinations.


* Function independently and deliver results with a minimum of supervision. Interact with corporation and third party business and legal personnel on relevant legal matters.


* Draft correspondence related to the foregoing duties and responsibilities.


* Maintain the confidentiality of Legal Department communications and documentation.


* Supervise professional(s) and or paraprofessional(s) employed in the Legal Department.


* Perform other duties as assigned.

Job Requirements



* J.D. Degree from an accredited law school. Licensed to practice law in accordance with Pennsylvania state bar requirements at least 8 years of commercial and corporate transactional experience either with a law firm or in house legal department.


* Excellent written and verbal communication skills, as well as a positive professional image.


* Excellent organizational skills and ability to work under pressure in a fast paced, dynamic corporate environment.


* Government contracts experience a plus (appropriate training will be provided as needed).


* Familiarity with fraud and abuse, anti kickback and other rules and regulations applicable to medical device companies a plus (appropriate training will be provided as needed).
